Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of (a) the website located at https://teampascal.com (the “Site”) and (b) Pascal’s hosted software-as-a-service platform and related services, including “Pascal” and “Team Pascal” (collectively, the “Service”). The Site and Service are operated by Pascal AI, Inc., a Delaware corporation (“Pascal,” “we,” “us,” or “our”).

By accessing or using the Site or Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Site or Service.

1. Relationship to Customer Agreements; Who May Use the Service

1.1 Business use; authorized users. The Service is made available primarily to business customers (each, a “Customer”) and the Customer’s authorized users (each, an “Authorized User”). If you use the Service as an Authorized User of a Customer, you are using the Service on the Customer’s behalf, subject to the Customer’s rights and responsibilities.

1.2 Customer agreement controls. If Pascal and a Customer have entered into a separate written agreement (e.g., a Master Services Agreement) governing the Customer's subscription or use of the Service (a "Customer Agreement"), then, as between Pascal and that Customer, the Customer Agreement controls over these Terms to the extent of any conflict, including with respect to fees, data processing terms, security commitments, and service levels.

1.3 Authority. If you accept these Terms on behalf of an entity, you represent that you have the authority to bind that entity, and “you” includes that entity.

2. Eligibility; Geographic Limitations

2.1 Age. You must be at least 18 years old (or the age of majority where you live, if higher) to use the Service.

2.2 Geographic availability. The Service is currently intended for use by Customers and Authorized Users located in North America. We may restrict or deny access to the Service in other locations and in jurisdictions where offering the Service would be unlawful.

2.3 Compliance with law. You will use the Site and Service in compliance with all applicable laws and regulations.

3. Accounts; Access; Administration

3.1 Account creation and access. Access to the Service may require an account established by or for a Customer. Authentication may be provided through single sign-on or other identity solutions selected by the Customer. You are responsible for maintaining the confidentiality of your credentials and for all activities conducted through your account.

3.2 Customer administrators. A Customer may designate administrators who can manage user access, configure settings, enable or disable integrations, and otherwise administer the Customer’s instance of the Service (“Admins”). You acknowledge that Admins may be able to (a) access, modify, or remove your access to the Service; and (b) access or manage certain information associated with your use of the Service as permitted by the Service and the Customer’s configuration.

3.3 Accurate information. You agree to provide accurate information and to keep account information current.

4. License and Acceptable Use

4.1 Limited license. Subject to these Terms, Pascal grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Site and Service solely for lawful purposes and, for the Service, solely in accordance with the applicable Customer Agreement (if any) and these Terms.

4.2 Restrictions. You will not, and will not permit any third party to:

  • copy, modify, or create derivative works of the Site or Service (except as expressly permitted by Pascal in writing);

  • reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying components of the Service (except to the extent such restriction is prohibited by applicable law);

  • access or use the Service to build, benchmark, or support a competing product or service, or for competitive analysis, except as expressly permitted in writing by Pascal;

  • interfere with, disrupt, or attempt to gain unauthorized access to the Site, Service, accounts, networks, or systems;

  • transmit malware or harmful code, or use the Site or Service to engage in unlawful, infringing, deceptive, or abusive conduct;

  • use any automated means to access the Site or Service in a manner that materially degrades performance or circumvents rate limits or access controls; or

  • access or use data, accounts, or systems that you do not have permission to access.

    4.3 Security. You will not probe, scan, or test the vulnerability of the Site or Service or breach any security or authentication measures.

5. Customer Data; Responsibility for Permissions

5.1 Customer Data.Customer Data” means data, content, documents, and information submitted to the Service by or on behalf of a Customer or its Authorized Users, including data accessed through enabled integrations/connectors.

5.2 Rights in Customer Data. As between Pascal and the Customer (and its Authorized Users), Customer Data remains owned by the Customer and/or its licensors, as applicable. You and the Customer grant Pascal a limited right to host, process, transmit, and display Customer Data solely to provide, maintain, and improve the Service and as otherwise permitted by the Customer Agreement (if any) and our Privacy Policy.

5.3 Permissions and authorizations. You represent and warrant that you (and/or the Customer, as applicable) have all rights, permissions, and lawful bases necessary to provide Customer Data to Pascal and to authorize Pascal to access and process such Customer Data through the Service, including through any enabled integrations/connectors.

5.4 Feedback. If you provide suggestions, ideas, or feedback regarding the Site or Service (“Feedback”), you grant Pascal a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback without restriction or obligation.

6. Third-Party Services; Integrations; Links

6.1 Third-party services. The Service may interoperate with or link to third-party services, software, platforms, or content (collectively, “Third-Party Services”), including through integrations/connectors enabled by a Customer or Admin. Third-Party Services are not controlled by Pascal and are governed by their own terms and privacy policies.

6.2 No responsibility for third parties. Pascal does not endorse and is not responsible for Third-Party Services, including their availability, security, functionality, or accuracy. Your use of Third-Party Services is at your own risk.

6.3 Authorization to connect. If you or an Admin enables a Third-Party Service integration, you authorize Pascal to access and exchange data with the Third-Party Service as directed through the integration settings.

7. Privacy

Our collection and use of personal information is described in our Privacy Policy. You agree that Pascal may process information as described in the Privacy Policy and any applicable Customer Agreement.

8. Subscriptions; Fees; Trials (Customer Level)

8.1 Customer billing. The Service may be offered on a subscription basis with automatic renewal. Fees, payment terms, renewal terms, and any trials or promotional access are determined by the applicable Customer Agreement or ordering documentation between Pascal and the Customer. Authorized Users do not pay Pascal directly for access to the Service.

8.2 Taxes. Taxes, if any, are addressed in the Customer Agreement or ordering documentation.

9. Support; Modifications; Suspension

9.1 Support. Support, if any, is provided as described in the applicable Customer Agreement or as otherwise made available by Pascal.

9.2 Changes to the Site or Service. We may update, change, or discontinue the Site or Service (in whole or in part) at any time. We may provide notice of material changes where commercially reasonable, but we are not obligated to provide any particular feature or functionality.

9.3 Suspension/termination of access. We may suspend or terminate your access to the Site or Service (a) to address a security risk, (b) if required by law, (c) for your violation of these Terms, or (d) at the request of the Customer or an Admin. Where reasonably practicable, we will provide notice and an opportunity to cure.

10. Intellectual Property

10.1 Our IP. The Site and Service, including all software, designs, text, graphics, interfaces, and other content (excluding Customer Data), and all related intellectual property rights, are owned by Pascal and its licensors. All rights not expressly granted are reserved.

10.2 Trademarks. “Pascal” and related marks are trademarks of Pascal. You may not use our marks without our prior written consent.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PASCAL DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PASCAL DOES NOT WARRANT THAT THE SITE OR SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PASCAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • IN NO EVENT WILL PASCAL’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR SERVICE EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

If you are using the Service as an Authorized User of a Customer and the applicable Customer Agreement provides different limitations of liability as between Pascal and the Customer, those limitations will apply as between Pascal and the Customer.

Some jurisdictions do not allow certain limitations; in that case, the above limitations apply to the fullest extent permitted.

13. Indemnification

You will defend, indemnify, and hold harmless Pascal and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Service in violation of these Terms or applicable law; (b) your violation of any rights of any third party; or (c) Customer Data or content you provide or authorize, including any allegation that Pascal’s processing of such data as permitted by these Terms infringes or misappropriates third-party rights.

14. Arbitration Agreement; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

14.1 Agreement to arbitrate. Except as set forth in Section 14.2, you and Pascal agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Service (each, a “Dispute”) will be resolved by binding individual arbitration and not in a court of law. This agreement to arbitrate is governed by the Federal Arbitration Act.

14.2 Exceptions. The following Disputes are not subject to arbitration: (a) claims that may be brought in small claims court if they qualify and remain in small claims court; and (b) claims seeking injunctive or other equitable relief to stop unauthorized use or abuse of the Site or Service, or infringement or misappropriation of intellectual property rights.

14.3 Arbitration procedures. The arbitration will be conducted by a nationally recognized arbitration provider chosen by Pascal, and will proceed under that provider’s applicable rules for consumer or commercial disputes, as appropriate. The arbitration will be conducted in English. You and Pascal agree that the arbitrator has exclusive authority to resolve any dispute regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court of competent jurisdiction will decide the enforceability of the class action waiver in Section 14.4.

14.4 Class action waiver. YOU AND PASCAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

14.5 Pre-arbitration notice. Before initiating arbitration, the party asserting a Dispute will send written notice describing the nature and basis of the claim and the relief sought. Notices must be sent by email to legal@teampascal.com. The parties will attempt in good faith to resolve the Dispute within 30 days after receipt of notice.

14.6 Severability. If any portion of this Section 14 is found unenforceable, the unenforceable portion will be severed, and the remainder will be enforced to the fullest extent permitted by law. If the class action waiver is found unenforceable, the entire arbitration agreement will be null and void.

15. Governing Law

These Terms and any Dispute not subject to arbitration will be governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

16. Notices; Electronic Communications

16.1 Notices to Pascal. You may send notices to Pascal at legal@teampascal.com.

16.2 Notices to you. We may provide notices to you by email (to the address associated with your account), through the Service, or by posting on the Site.

16.3 Electronic communications. You consent to receive communications from Pascal electronically and agree that such communications satisfy any legal requirement that communications be in writing.

17. Changes to These Terms

We may update these Terms from time to time. Unless otherwise stated, updates are effective when posted. If we make material changes, we may provide notice by posting on the Site or through the Service. Your continued use of the Site or Service after the effective date of an update constitutes acceptance of the updated Terms.

18. Miscellaneous

18.1 Assignment. You may not assign these Terms without Pascal’s prior written consent. Pascal may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all assets.

18.2 Severability. If any provision is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

18.3 Waiver. A waiver of any breach is not a waiver of any other breach.

18.4 Entire agreement. These Terms (together with any referenced policies) constitute the entire agreement between you and Pascal regarding the Site and Service, except to the extent superseded by an applicable Customer Agreement.

18.5 Force majeure. Pascal will not be liable for any delay or failure to perform due to events beyond its reasonable control.
